Insource Leads | LinkedIn GTM Subscription Agreement

Version: 1.1 Effective Date: Date of acceptance at Program Enrollment

This LinkedIn GTM Subscription Agreement (“Agreement”) is between Insource LV, LLC dba Insource Leads (“Insource Leads,” “we,” or “us”) and the individual or legal entity identified at checkout (“Subscriber,” “Client,” or “you”).

An individual enrolling on their own behalf accepts this Agreement personally. A person enrolling on behalf of an entity represents that they have authority to bind that entity.

1. Program Scope

LinkedIn GTM is a managed LinkedIn sales development program (“Program”). We create a new audience of connections around Client’s approved Ideal Client Profile (“ICP”), nurture newly formed connections through campaign messaging, review responses, classify marketing-qualified leads (“MQLs”), and deliver those leads to Client’s designated recipient.

The subscription includes:

  • ICP, buyer-role, and campaign messaging alignment.
  • Targeted connection development.
  • Campaign messaging and follow-up.
  • Response review and MQL scoring.
  • Lead alerts with available conversation context and recommended next steps.
  • Reporting on outreach activity, responses, MQL production, and performance by profile.
  • GTM Engineer assistance with messaging development and review of Program performance and progress as needed.

Client manages follow-up and conversion of MQLs into meetings. BDR qualification, meeting conversion, scheduling, and warm handoffs are not included in this subscription. Those services require a separate agreement under our Managed GTM Services program.

2. GTM Engineering and Client Approvals

Insource Leads’ GTM Engineers will assist with messaging development and review Program performance and progress as needed, recommending adjustments intended to optimize results.

Client has final approval of campaign messaging and the ICP filters used inside Sales Navigator. Material changes to approved messaging or targeting filters require Client approval before implementation.

Approval may be documented electronically. Client’s silence will not be treated as approval.

If required approval is outstanding, affected campaign activity may remain unlaunched or be withheld. The subscription and billing continue under this Agreement.

GTM Engineer assistance, recommendations, and performance reviews do not guarantee particular results.

3. Lead Scoring and Handoff

Responses are classified using the following framework:

| Classification | Description | |---|---| | MQL1 — Meeting Interest | The prospect expresses interest in a meeting or sales conversation. Scheduling and additional qualification may still be required. | | MQL2 — Information Request | The prospect requests information, asks a relevant question, or seeks clarification about the offering. | | MQL3 — Referral | The contact identifies or directs outreach to another person who may be more appropriate. A referral does not establish that the referred person has expressed interest. | | MQL4 — Future Opportunity | The prospect requests follow-up 30 or more days in the future. Timing and interest must be reconfirmed when follow-up occurs. |

Lead scoring reflects the response and information available at the time of review. An MQL classification does not establish budget, purchasing authority, a scheduled meeting, or a commitment to purchase.

Client receives available conversation context and a recommended next step. Client is responsible for timely follow-up and self-managed conversion into sales meetings unless separate Managed GTM Services have been purchased.

4. Program Enrollment and Implementation

Billing begins at Program Enrollment.

“Program Enrollment” occurs when Client accepts this Agreement and the initial subscription payment is successfully processed. The first four-week service period begins on that date.

Discovery, set-up, and implementation are included in the first service period. No set-up fee applies.

Implementation normally takes approximately three business days, subject to timely receipt of required information, messaging and ICP filter approvals, authorized profile access, and Sales Navigator availability. Business days exclude weekends and Insource Leads’ observed holidays.

Any displayed launch date is an estimate. Delays caused by missing Client information, approvals, access, or subscriptions do not postpone billing, pause the Program, or automatically extend the service period.

We will notify Client when missing requirements prevent launch.

5. Subscription Prices and Service Periods

All prices are in U.S. dollars.

| Enrolled profiles | Charge per four-week service period | |---|---:| | 1 | $750 | | 2 | $1,500 | | 3 | $2,250 | | 4 | $3,000 |

The selected plan and amount appear in Client’s checkout summary and enrollment confirmation.

Each service period is four weeks—28 calendar days—not a calendar month. This schedule produces 13 service periods over 364 days.

The service is configured as non-taxable at enrollment. Any different tax treatment required by applicable law will be disclosed before collection.

Sales Navigator and separately purchased services are not included in these subscription prices.

6. Automatic Renewal and Payment Authorization

CLIENT’S SUBSCRIPTION AUTOMATICALLY RENEWS EVERY 28 DAYS UNTIL CANCELED.

Client authorizes Insource Leads, through Square, to charge the payment method provided:

1. The selected subscription amount at Program Enrollment. 2. The same amount 28 days after Program Enrollment. 3. The applicable subscription amount every 28 days thereafter until cancellation.

The initial payment covers the first service period, including implementation. There is no separate implementation charge.

Client authorizes storage of the payment credential through Square for authorized recurring payments and must maintain a valid payment method.

We will provide email confirmation of the initial purchase, recurring amount, billing frequency, next billing date, and cancellation instructions.

We will not charge for additional profiles or optional services without Client’s authorization.

7. Cancellation

There is no minimum commitment beyond the current paid service period.

Client may stop renewal at any time before the next scheduled charge by:

  • Using the online Manage Subscription / Cancel Subscription function supplied with enrollment; or
  • Emailing info@insourceleads.com from the enrollment email address, identifying the Subscriber or entity and requesting cancellation.

No sales call or explanation is required. An email request is effective when received, not when staff later processes it. We may reasonably verify the requester’s authority.

Cancellation stops future renewals. Service continues through the current paid period unless Client requests an earlier stop or continued operation is prohibited or unsafe.

We will confirm cancellation and the service end date by email. If a renewal is mistakenly charged after an effective cancellation, we will refund it.

Canceling this Program does not cancel Client’s separate LinkedIn Sales Navigator subscription.

8. No Client-Requested Pauses

The Program is provided on a continuous subscription basis. Client may not pause, freeze, place on hold, or defer the Program or its recurring charges for later restart.

Client inactivity, travel, staffing changes, internal priorities, delayed approvals, failure to work delivered leads, or a request to temporarily stop outreach does not suspend billing or create a credit, refund, rollover, or extension.

Client may cancel future renewal under Section 7. If Client requests that outreach stop before the paid period ends, outreach will stop, but the unused portion remains non-refundable except where this Agreement or applicable law provides otherwise.

Restarting after cancellation requires a new enrollment or written reactivation confirmation and is subject to then-current pricing, capacity, and implementation requirements.

This section does not limit remedies expressly provided elsewhere in this Agreement for an Insource Leads-caused service failure or termination.

9. Refunds, Service Interruptions, and Termination

Payments cover reserved campaign capacity and work during the applicable period. Except as stated in this Agreement or required by law, payments are non-refundable, and unused portions are not prorated when Client cancels.

If Insource Leads cannot launch for reasons within its control, we will extend the service period to account for the delay or offer a refund of the unused portion.

If a platform restriction or outage prevents material service delivery, we will notify Client and discuss available alternatives. We will not continue charging for successive periods in which we know the affected service cannot be delivered without obtaining Client’s agreement to an alternative.

We may suspend service for failed payment, unauthorized account access, unlawful activity, material breach, or an account-security concern. We will provide notice and a reasonable opportunity to resolve the issue where practicable.

Payment failures may be retried using the authorized payment method after notice. Failed charges do not authorize duplicate collection of the same amount.

We may terminate the subscription on notice. If we terminate for reasons other than Client’s material breach, we will refund the unused portion of the paid period.

An Insource Leads-initiated suspension under this section is distinct from a Client-requested pause and does not create a right to pause the subscription.

10. Plan and Price Changes

Profile additions, reductions, and their effective dates must be confirmed with Client. Any immediate charge or proration requires disclosure and authorization.

We will give at least 28 days’ email notice before a price increase takes effect at a future renewal. Client may cancel before that renewal.

We will not retroactively increase the price of a paid period.

11. Client Responsibilities

Client will:

  • Provide accurate Subscriber, company, contact, offering, and ICP information.
  • Designate a recipient to receive and work MQLs.
  • Provide timely review and final approval of campaign messaging and Sales Navigator ICP filters.
  • Identify customers, competitors, contacts, and other parties to exclude.
  • Have authority to use supplied content, business data, and profiles.
  • Obtain each profile owner’s informed authorization for the proposed access and campaign activity.
  • Maintain required subscriptions and reasonably cooperate with account verification.
  • Respond to lead alerts and honor opt-outs and communication restrictions.
  • Use delivered information lawfully and for legitimate business purposes.

Client must not submit sensitive personal information or regulated confidential records unnecessary for this service.

Profile URLs may be supplied at checkout or finalized during implementation.

12. Sales Navigator

Each enrolled profile requires a suitable Sales Navigator subscription.

Client purchases and maintains Sales Navigator directly with LinkedIn. If assistance is requested, Insource Leads will guide Client through enrollment during implementation.

Client enters payment information directly into LinkedIn. Sales Navigator charges are separate from Insource Leads charges and follow LinkedIn’s billing schedule.

Any Sales Navigator price displayed on our website is informational. LinkedIn determines the actual price, taxes, available offers, and subscription terms.

Insource Leads does not collect Sales Navigator subscription charges through this checkout.

13. Profile Access and Platform Restrictions

Client authorizes only the access and campaign activity agreed during implementation. Insource Leads will use an appropriate secure access process and will not request passwords through public checkout forms.

Insource Leads is independent of LinkedIn and is not endorsed by LinkedIn.

LinkedIn controls its platform, account permissions, messaging limits, and enforcement. LinkedIn prohibits certain third-party automation and account-access practices. Such activity may result in temporary or permanent account restrictions, loss of access, or interrupted service.

Client’s authorization does not constitute LinkedIn’s permission. Neither party may require the other to bypass security controls, evade restrictions, use fabricated identities, or undertake activity prohibited by applicable law or platform rules.

Before launch, we will explain the proposed access method and campaign tools. If an approved operating method cannot be used, we will address alternatives or termination under Section 9.

We do not guarantee uninterrupted platform access or restoration of restricted accounts.

14. Performance Expectations

We will provide the agreed services with reasonable care and skill.

Results depend on factors including audience availability, profile condition, connection acceptance, messaging relevance, prospect engagement, platform restrictions, and Client’s follow-up.

We do not guarantee a particular number of connections, replies, MQLs, meetings, sales, or revenue. Lead scores are assessments of available responses, not promises of purchase intent or financial capacity.

15. Confidentiality and Information Use

Each party will protect the other’s nonpublic business information and use it only to perform this Agreement or as otherwise authorized.

Access may be provided to personnel and service providers who need it to deliver the service and are subject to appropriate confidentiality obligations.

Confidentiality does not cover information independently developed, lawfully received without restriction, already known without a duty of confidentiality, or publicly available without breach.

Required legal disclosures are permitted, with advance notice where lawful.

The accompanying LinkedIn GTM Information-Use Notice explains enrollment, payment, campaign, and support information processing.

When we process prospect information on Client’s behalf, we will follow documented service instructions, apply appropriate safeguards, assist reasonably with applicable privacy requests, and bind service providers to appropriate data-protection obligations. A separate data-processing addendum will be used where required.

16. Materials and Campaign Records

Client retains its rights in supplied branding, content, business information, and profiles. No party acquires ownership of an individual’s LinkedIn account or personal information through this Agreement.

Subject to applicable law and third-party rights, Client may use campaign-specific deliverables and lead reports for its business purposes.

Insource Leads retains its pre-existing methods, templates, workflows, software, and general know-how.

This Agreement does not authorize resale, licensing to unrelated businesses, or use of identifiable Client campaign conversations or leads in a separate data product. Any such use requires a separate express agreement and an appropriate legal basis.

We may use aggregated, de-identified operational information to assess and improve service performance, provided it does not identify Client or individuals.

17. Liability

To the extent permitted by law, neither party is liable for indirect, consequential, special, or punitive damages, including lost profits or lost business opportunities.

Each party’s total liability arising from this Agreement will not exceed the subscription fees paid or payable for the three service periods immediately preceding the event giving rise to the claim.

These limits do not restrict payment obligations, refunds expressly owed, fraud, willful misconduct, gross negligence, or liability that cannot lawfully be limited.

18. Governing Law and Agreement Priority

Texas law governs this Agreement, without overriding mandatory law that otherwise applies.

Subject to mandatory jurisdiction requirements, disputes will be brought in the state or federal courts serving Fort Bend County, Texas.

This Agreement, the accepted checkout summary, and any expressly agreed amendment govern the LinkedIn GTM subscription. Appointment-setting terms and guarantees do not apply merely because they appear elsewhere on the website.

Changes to this Agreement will apply prospectively after notice and any renewed consent required by law. Material changes will not alter a paid period retroactively.

Electronic acceptance and records may be used to establish this Agreement.
